Agreement.

1. Parties and scope

This End User License Agreement (the "Agreement") is a legal agreement between you, or the organization you represent ("Customer", "you"), and Verdaro Labs (Inh. Burak Erol), Margaretenstr. 11, 10317 Berlin, Germany ("Verdaro Labs", "we", "us").

This Agreement governs your installation and use of Verdaro Labs software applications distributed through the Atlassian Marketplace (each, an "App"), together with their documentation. It currently applies to Secret Notes for Jira & JSM and to any future Verdaro Labs App that links to this Agreement.

Business customers only (B2B). The Apps are offered exclusively to entrepreneurs within the meaning of § 14 BGB, to legal entities under public law, and to special funds under public law. They are not offered to, intended for, or to be used by consumers within the meaning of § 13 BGB. By installing or using an App, you represent and warrant that you act in the exercise of your commercial or independent professional activity and not as a consumer, and that the person accepting this Agreement is authorized to bind the Customer.

By installing, accessing, or using an App, you accept this Agreement. If you do not agree, do not install or use the App.

2. Relationship to Atlassian terms

Verdaro Labs Apps run on Atlassian Forge and are obtained, installed, billed, and provisioned through the Atlassian Marketplace operated by Atlassian Pty Ltd and its affiliates ("Atlassian"). Your acquisition of an App is also subject to the Atlassian Marketplace Terms of Use and the applicable Atlassian Cloud terms.

This Agreement supplements those terms and governs the use of the App itself. Where this Agreement conflicts with the Atlassian Marketplace Terms of Use as to the procurement, billing, or provisioning relationship, the Atlassian terms control. Atlassian is not a party to this Agreement.

3. License grant

Subject to your compliance with this Agreement, the Atlassian Marketplace Terms of Use, and payment of any applicable fees, Verdaro Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App for your internal business purposes within the Atlassian Cloud instance(s) for which it is licensed, for the duration of your active subscription, trial, or free-tier entitlement.

4. License restrictions

You may not, and may not permit any third party to:

• copy, modify, translate, or create derivative works of the App, except as expressly permitted by mandatory applicable law;
• reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except to the limited extent such restriction is prohibited by applicable law (for example, § 69e UrhG for interoperability);
• rent, lease, lend, sell, resell, sublicense, distribute, or otherwise make the App available to third parties as a standalone product or service;
• remove, obscure, or alter any proprietary notices, trademarks, or branding in the App;
• circumvent, disable, or interfere with usage limits, security features, license enforcement, or billing mechanisms of the App or the Atlassian platform;
• use the App to build or assist a competing product, or to benchmark it for that purpose without our prior written consent;
• use the App in violation of applicable law, third-party rights, or the Atlassian Marketplace Terms of Use.

5. Acceptable use and Customer responsibilities

You are responsible for the content you and your users enter into the App ("Customer Content"), including any secrets, credentials, or other sensitive data, and for ensuring you have the right to process it.

Specifically for Secret Notes for Jira & JSM, you acknowledge that:

• the App reduces the risk of secrets being exposed in Jira/JSM comments, fields, and request threads, but it is not a replacement for a dedicated password manager, secrets vault, or key-management system;
• once a user reveals or copies a secret, that plaintext leaves the App's protected storage context, and clipboard managers, browser extensions, or operating-system sync tools outside the Atlassian Forge environment may retain it;
• you are responsible for configuring access modes, expiry policies, and reveal audiences appropriately, and for your users' handling of revealed content;
• you must not use the App to store content that is unlawful, infringing, or that you are not permitted to retain.

You are responsible for maintaining the security of your Atlassian accounts, users, and permissions, which control access to the App.

6. Fees, trials, and free tier

Where an App is offered as a paid app, fees, billing, currency, and taxes are handled by Atlassian through the Marketplace in accordance with the pricing shown on the App's Marketplace listing and the Atlassian Marketplace Terms of Use. Verdaro Labs does not directly collect payment from you for Marketplace Apps.

Secret Notes for Jira & JSM is offered with a free trial and is free to use for instances of 1–10 users, as described on its Marketplace listing. Free-tier and trial use is governed by this Agreement in the same way as paid use, except that the reduced warranty and liability provisions in sections 11 and 12 apply to no-charge use. Pricing and tier definitions may change for future billing periods as published on the Marketplace listing.

7. Data, privacy, and security

Our handling of personal data in connection with the Apps is described in our Privacy Policy. For Secret Notes for Jira & JSM, additional technical detail is provided on the Security & Privacy page.

Verdaro Labs Apps are built as Atlassian Forge apps and run on Atlassian infrastructure. Secret Notes stores secret payloads in the Atlassian Forge Secret Store and metadata in Forge storage; it does not operate an external Verdaro Labs backend for secret handling and does not use third-party analytics, advertising, or telemetry SDKs.

As between the parties, you remain responsible as the controller for Customer Content you choose to process through the App. Where Verdaro Labs processes personal data on your behalf, it does so as described in the Privacy Policy and, where applicable, under a separate data processing agreement.

8. Intellectual property

The App, its documentation, and all related intellectual property rights are and remain the exclusive property of Verdaro Labs and its licensors. This Agreement grants you a license to use the App, not a sale of the App or any rights in it. All rights not expressly granted are reserved.

You retain all rights in your Customer Content. You grant Verdaro Labs only the limited rights necessary to operate, maintain, and support the App as described in this Agreement and the Privacy Policy.

If you provide feedback or suggestions about an App, you grant Verdaro Labs a perpetual, irrevocable, royalty-free license to use that feedback to improve its products, without obligation to you.

9. Third-party platform and dependencies

The Apps depend on the availability and operation of the Atlassian Cloud, Atlassian Forge, and the Atlassian Marketplace, which are provided by Atlassian under its own terms. Verdaro Labs is not responsible for the availability, performance, security, changes, or discontinuation of the Atlassian platform, and any such matters are governed by your agreements with Atlassian.

Atlassian, Jira, Jira Service Management, Confluence, Forge, and Rovo are trademarks or registered trademarks of Atlassian Pty Ltd. Verdaro Labs is an independent provider and is not affiliated with, endorsed by, or sponsored by Atlassian.

10. Support, updates, and availability

Verdaro Labs provides support for the Apps through its support channels, primarily its Jira Service Management portal and support@verdarolabs.com, as described on our Support page. We may release updates, fixes, and changes to an App from time to time. Some updates may be required for continued operation on the Atlassian platform.

Unless a separate written service-level agreement is concluded, Verdaro Labs does not owe any specific level of availability, response time, or resolution time. The Apps run on the Atlassian platform, and availability also depends on Atlassian and on other factors outside Verdaro Labs' control. No-charge trial and free-tier use is provided without any availability commitment.

11. Defects, warranty, and guarantees

The Apps are made available in the form provided from time to time. Verdaro Labs does not warrant that an App will be uninterrupted, error-free, or free of all defects, or that it will prevent every unauthorized access to or disclosure of secrets — in particular where exposure results from user behavior, the Customer's configuration, the Atlassian platform, or systems outside the App's control. The Customer is responsible for assessing whether an App is suitable for the Customer's intended purpose.

Statutory defect liability applies with the following modifications, agreed for these business-to-business dealings: defects must be reported to Verdaro Labs without undue delay after they become apparent, with information reasonably sufficient to reproduce them; Verdaro Labs remedies material defects by supplementary performance and may choose to provide a fix, an update, or a reasonable workaround; and insignificant defects, or impairments caused by improper use, unauthorized modification, or the Atlassian platform, do not give rise to defect claims.

Descriptions in the documentation, on the Marketplace listing, or on this website set out the App's functionality and are not guarantees. A guarantee of specific characteristics (Beschaffenheitsgarantie) or a durability guarantee exists only where Verdaro Labs expressly designates it as a "guarantee" ("Garantie") in writing.

Nothing in this Agreement excludes or limits any statutory rights or liability that cannot be excluded or limited under applicable mandatory law.

12. Limitation of liability

Verdaro Labs is liable without limitation for damages arising from intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), for injury to life, body, or health, and under the German Product Liability Act (Produkthaftungsgesetz) or other mandatory statutory liability.

For damages caused by slight negligence (einfache Fahrlässigkeit), Verdaro Labs is liable only for breach of a material contractual obligation (an obligation whose fulfilment is essential to the proper performance of this Agreement and on which you may reasonably rely). In that case, liability is limited to the foreseeable damage typical for this type of agreement.

Any further liability of Verdaro Labs is excluded. To the extent liability is limited or excluded above, this also applies to the personal liability of Verdaro Labs' owner, employees, representatives, and agents. The foregoing does not affect any mandatory statutory rights you may have.

Liability for loss of data is limited to the typical recovery effort that would have arisen had the Customer maintained regular, risk-adequate backups. The Customer is responsible for backing up its own data and for keeping a separate, authoritative record of any secret or credential it manages, independently of the App.

By way of derogation from the foregoing paragraphs of this section, for no-charge use of an App (free trial and free tier) Verdaro Labs is liable only for intent and gross negligence; liability for injury to life, body, or health, under the Product Liability Act, and other mandatory statutory liability remains unaffected.

Except for claims based on intent or gross negligence, claims for injury to life, body, or health, claims under the Product Liability Act, claims based on a guarantee or a fraudulently concealed defect, and other claims for which mandatory law prescribes a longer period, claims against Verdaro Labs become time-barred twelve (12) months after the statutory limitation period begins to run.

13. Term and termination

This Agreement applies for as long as you have the App installed or hold an active subscription, trial, or free-tier entitlement. You may end this Agreement at any time by uninstalling the App and cancelling any subscription through the Atlassian Marketplace.

Verdaro Labs may suspend or terminate your license if you materially breach this Agreement, or where required by law, Atlassian, or to protect the security or integrity of the App or other users.

On termination, your license ends and you must stop using the App. Secret Notes for Jira & JSM includes an uninstall handler designed to purge tenant App data on uninstall, subject to Atlassian platform behavior and backups outside Verdaro Labs' direct control. Provisions that by their nature should survive (including sections 4, 8, 11, 12, and 15) survive termination.

14. Changes to the App and this Agreement

Verdaro Labs may modify the Apps to reflect new features, technical or platform changes, security requirements, or legal requirements, provided the core functionality the Customer has licensed is not materially reduced without notice.

Verdaro Labs may amend this Agreement for a valid reason — in particular changes in the Atlassian platform, in an App's functionality, in security or operational requirements, or in the applicable legal framework — where the amendment is reasonable for the Customer and does not unreasonably disadvantage it. Verdaro Labs will announce material amendments via the App's Marketplace listing, this page, or email with reasonable advance notice before they take effect. If the Customer does not agree to a material amendment, the Customer may object before it takes effect and/or stop using the App by uninstalling it and cancelling any subscription through the Atlassian Marketplace; the amended Agreement does not apply to a Customer that has stopped using the App. Amendments that are solely to the Customer's benefit or required by mandatory law take effect as stated in the notice. The "Last updated" date reflects the current version.

15. Governing law and jurisdiction

This Agreement is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and its conflict-of-law rules. Where you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this Agreement is Berlin, Germany. Mandatory statutory provisions remain unaffected.

16. Set-off, severability, and miscellaneous

The Customer may set off only against claims that are undisputed or have been finally determined by a court, and may exercise a right of retention only on the basis of claims arising from the same contractual relationship.

Individual agreements made in writing between the Customer and Verdaro Labs take precedence over this Agreement. Verdaro Labs does not accept the Customer's conflicting or supplementary general terms and conditions unless Verdaro Labs has expressly agreed to them in writing.

Neither party is responsible for failure or delay in performance caused by events beyond its reasonable control (force majeure), including Atlassian platform outages, for the duration of the event.

If any provision of this Agreement is or becomes invalid or unenforceable, the validity of the remaining provisions is not affected. The applicable statutory provisions apply in place of the invalid or unenforceable provision.

Failure to enforce a provision is not a waiver of it. The Customer may not assign this Agreement or rights under it without Verdaro Labs' prior written consent (§ 354a HGB remains unaffected); Verdaro Labs may assign this Agreement in connection with a transfer of the relevant business or App. The contract language is English. Together with the Atlassian Marketplace Terms of Use and our Privacy Policy, this Agreement constitutes the entire agreement between the Customer and Verdaro Labs regarding the Apps.
